Only the team working in a project is aware of the identity of the client or the nature of the work undertaken. Until specific authorization is obtained from the client in writing, the client identity is never revealed. |

| Information disclosed by Disclosing Party will be considered confidential and proprietary by the receiving party. Such information includes but not limited to all such information relating to disclosing party’s past, present or future businesses, products, patents (granted and pending) activities, ideas, inventions, research, designs or development, personal and business opportunities. It also includes information which is marked as “Confidential and /or Proprietary” or which would logically be considered confidential and/or the proprietary in view of the disclosing party. |

| 1. All new information, and any enhancements, modifications of existing information made/conceived/collected by the receiving party during or as the result of interaction/contract/employment with the company, will remain confidential and proprietary information of disclosing party. |

| 2. Receiving party shall not disclose, publish or otherwise disseminate information to anyone for any purpose, whatsoever, during or subsequent to the interaction/contract with disclosing party. |

| 3. The receiving party shall not apply the “Information” directly/indirectly or engage in any kind of activities (such as contracts, projects, R&D, consultancy, business, occupation etc) that may exploit the information. |

| 4. The receiving party shall not use the “Information” except for the purpose allowed by the disclosing party and shall not use the information otherwise for its own and third party purpose without the prior written approval of the Disclosing Party in each instance. |

| 5. The receiving party agrees not to enter in any agreement either written or oral in conflict herewith. |
| |
| 6. The receiving party acknowledges that unauthorized disclosure/use/possession of the information could cause irreparable harm and significant injury to disclosing party. |

| 7. The laws shall govern this agreement and its validity, construction and effects. Jurisdiction will be Delhi only. |
